Terms and Conditions of Website Sale and Use
These terms apply to website sales only.
If an order is placed as a trade credit account holder (trade customer), then please refer to our Standard Credit Account Terms & Conditions.

Online (Retail) Customer: an individual purchasing via our website for personal use
Trade Customer: any customer purchasing for business, trade, or resale purposes. A trade credit account holder.
Goods: products supplied by us
Contract: agreement formed between you and us
Your Statutory Rights Remain Unaffected

3. Application of Terms

3.1 These Terms apply to all sales placed via our website unless agreed otherwise in writing.

3.2 For Trade Customers, these Terms override any terms submitted by you unless expressly agreed.

3.3 Different rights apply depending on whether you are an Online (Retail) Customer or Trade Customer.

3.4 Trade sales require a Trade Account for which additional credit account terms apply (Standard Credit Account Terms & Conditions). These terms will be supplied upon application.

4. Orders and Contract Formation

4.1 Orders placed via our website or otherwise constitute an offer.

4.2 A contract is formed only when we issue a despatch confirmation.

4.3 We may refuse or cancel orders, including where:

goods are unavailable
pricing errors occur
credit checks are not satisfied

4.4 Each order forms a separate contract.

5. Products

5.1 Product descriptions, images and specifications are for guidance only.

5.2 We may:

amend specifications to comply with regulations
supply equivalent products

5.3 Goods are supplied based on customer selection. Trade Customers are responsible for ensuring suitability for their intended use.

6. Price

6.1 Prices:

for all products are presented as VAT exclusive and VAT inclusive. Inclusive VAT will always be displayed separately.

may be quoted separately for trade customers

6.2 Online Customers:

price is fixed at the point of order

6.3 Trade Customers:
We may adjust prices before dispatch due to:

supplier cost increases
exchange rate changes
tax or duty changes
inaccurate supplier information

6.4 Customers will be informed of any price adjustments before despatch and reserve the right to cancel.

6.5 VAT is charged at the applicable rate.

7. Payment

7.1 Online Customers

Payment is required at checkout

7.2 Trade Customers

Payment terms are:

cash with order, or
credit account (subject to approval)

Standard credit terms: 30 days from date of invoice

7.3 Late payments:

interest may be charged according to our Standard Credit Account Terms & Conditions
supply may be suspended

7.4 Trade Customers may not withhold or off set payments without agreement in writing.

7.5 All credit terms and conditions are covered in our Standard Credit Account Terms & Conditions.

8. Delivery

8.1 Delivery charges are shown at checkout or quoted separately.

8.2 Delivery dates are estimates only.

8.3 Delivery is complete when goods arrive at your delivery address.

8.4 If delivery is refused or missed:

we may charge storage/redelivery
goods may be resold after reasonable notice

9. Risk and Title

9.1 Risk passes on delivery.

9.2 Trade Customers – Title

Ownership remains with us until full payment is received.

Until ownership passes:

goods must be stored separately
identifying marks must not be removed
we may recover goods if unpaid

10. Cancellation Rights – Online (Retail) Customers Only

10.1 Online Customers may cancel an order within 14 days of receiving goods.

10.2 You then have 14 days to return goods.

10.3 Refunds include:

product cost
standard delivery (where applicable)

11. Returns Policy
11.1 Non-Faulty Goods

Returns must:

be requested within 14 days of delivery
be unused and in original condition

Online Customers:

responsible for return shipping

Trade Customers:

returns subject to approval
may incur restocking charges
may require a return authorisation (RMA)

11.2 Faulty or Incorrect Goods

If goods are faulty:

contact us promptly
we will arrange a return (label or collection)

Once confirmed faulty:

full refund OR replacement

11.3 Non-Returnable Items

bespoke or made-to-order goods
non-stock or specially sourced items

12. Warranty (Trade Customers)

12.1 Goods are warranted to:

match description
be free from manufacturing defects

12.2 Conditions:

defects must be reported promptly
goods must not be altered

12.3 We may:

repair
replace
refund

12.4 No liability for:

misuse
improper installation
wear and tear

13. Liability

13.1 Nothing limits liability for:

death or personal injury
fraud
statutory rights

13.2 Trade Customers

We are not liable for:

loss of profit
business losses
indirect or consequential losses

Liability is limited to the value of goods supplied.

14. Force Majeure

We are not liable for delays caused by events beyond our control.

15. Termination (Trade Customers)

We may suspend or terminate supply if:

payment is overdue
insolvency occurs
credit risk increases

All outstanding invoices become immediately payable.

16. Website Use

You agree not to:

misuse the website
attempt unauthorised access
upload harmful content

17. Intellectual Property

All website content is owned or licensed by Fairline Distribution Ltd and may not be reproduced without permission.

18. Privacy

Your data is handled in accordance with our Privacy Policy. All telephone calls are recorded for monitoring & training purposes only.

19. General

Contracts are non-transferable without consent
No third-party rights
Invalid clauses do not affect others

20. Governing Law

English law applies.
Courts of England and Wales have jurisdiction.
